MATT P. JOHNSON
Matt represents clients in tax, business and partnership law, and real estate and construction matters across Colorado. He advises businesses, owners, developers, and investors on wide-ranging and often interconnected legal and financial issues to manage legal and operational risk, coordinate effective dispute resolution when matters become complex, and represent their interests before the IRS during audits and appeals.
In his practice, Matt advises businesses, partnerships, and individuals on the identification and mitigation of legal and financial risk, integrated tax planning, and dispute resolution. He advises businesses on formations, acquisitions, and contracts, and he helps both businesses and individuals protect their assets, foster growth, and prepare for the next generation with unified succession planning, tax structuring, and ownership strategy.
Matt works with real estate owners, developers, and investors on acquisitions, zoning and land use matters, easements, permitting, and regulatory compliance. He helps clients to structure and navigate purchase and construction agreements, to address inspection and title matters, and to manage delay, payment, and performance disputes that arise during deal and project lifecycles.
He also represents clients at all stages of tax controversy before the IRS and the Colorado Department of Revenue. Matt works with businesses and individuals to manage exposure and position matters for effective outcomes at each stage, including when responding to IRS notices, negotiating tax liabilities, and appealing IRS decisions.
PROFESSIONAL & COMMUNITY
Matt earned his B.A. in Mathematics from the University of California, Santa Barbara, and his J.D. from Georgetown University Law Center, where he focused on tax and transactional law.
His experience includes work with the United States Department of the Treasury, Ernst & Young, multiple district attorney’s offices, and private practice. He has advised individuals, small businesses, and multinational organizations, and has extensive experience in negotiation and litigation, including trials and pre-trial resolutions.
He is also a veteran of the Air Force and Air National Guard and remains committed to supporting local veteran communities.
